Terms of Service

These Terms govern your use of MemFrog (the "Service"). Inoqube d.o.o., a limited liability company registered in Slovenia (registration no. 9804056000, VAT ID SI21298190) with its seat at Celovška cesta 150, 1000 Ljubljana, Slovenia ("we", "us") provides it. By creating an account, installing the app, or using any part of the Service you accept these Terms and our Privacy Policy. If you don't accept them, don't use MemFrog.

1. The Service

MemFrog is a personal networking memory. You capture the people you meet (scan a business card, add a LinkedIn or WhatsApp contact, import from your phone, or type them in), attach selfies, voice notes and files, and organise everyone by space, tag and role. AI turns voice notes into transcripts and summaries and answers questions about your own network ("Ask"); The Pond suggests who to reconnect with. You can also publish digital business cards with a QR code and share photo links with the people you met. MemFrog runs at app.memfrog.com and as iOS and Android apps.

2. Your account

You must be at least 16 years old. You can sign in with an email and password, Google, or Apple. Keep your credentials to yourself: you're responsible for everything that happens under your account. Email quack@memfrog.com if you think someone else has access to it.

3. Plans

MemFrog comes in two plans: Lil Froggo (free) and Froggo Pro (paid). The free plan has allowances, for example five AI name reads a month, fifteen tiered contacts in The Pond, one digital business card, and two attachments of up to 5 MB per contact. Our pricing page and the app show the current split. We may change plan features and allowances. If a change removes something you pay for, we'll tell you 30 days ahead.

4. Subscriptions and billing

Froggo Pro is a recurring subscription. We bill monthly or yearly in advance, and it renews until you cancel.

  • On the web, Stripe processes your payment. You can change or cancel your subscription any time from the billing portal (Settings → Plan). Cancellation takes effect at the end of the current billing period.
  • In the iOS and Android apps, you buy through the Apple App Store or Google Play under their terms. Manage or cancel the subscription in your App Store or Google Play account. Apple or Google handle refunds for store purchases under their own policies.

You see the price before you pay; it may include VAT depending on where you are. If we change prices, the new price applies from your next renewal after we've given you 30 days' notice. Unless the law says otherwise, we don't refund fees you've already paid.

EU/EEA consumers: you may withdraw from a web subscription within 14 days of buying it, without giving a reason, by emailing us. Because we start the Service right away, if you withdraw within those 14 days we refund the price minus the days you've used.

5. Your content

Everything you save in MemFrog (contacts, notes, photos, recordings, transcripts, cards, attachments) is yours. You grant us a limited, non-exclusive licence to host, process, transmit and display that content so we can run and improve the Service for you, which includes sending it to the AI, transcription, storage and email providers listed in our Privacy Policy. We don't sell your content, and we don't use it for ads or to train AI models.

6. Data about other people

When you store information about someone else, you are the data controller for it. You confirm that you have a lawful basis to keep it (your legitimate interest in a professional relationship, or their consent), that you save what's relevant to that relationship and no more, and that you'll answer any request from those people to see or delete their data. Don't import a whole address book on the off chance, and don't record anyone who has asked you not to.

7. Public pages and links

Some things you create are public by design. Anyone who scans your business card's QR code or has its link can see the card, and anyone with a photo link can see the selfie you shared, for up to 365 days. Put on a card, or share, what you're happy to make public. People who scan your card may send their own details back to you or ask us to email them your card, and we deliver both on your behalf. We may remove a card or link if someone uses it for spam, impersonation or anything unlawful.

8. Acceptable use

You agree not to:

  • use MemFrog to harass, stalk, spam or deceive anyone, or to store data about people in breach of the law;
  • upload content that is unlawful, infringes someone's rights, or contains malware;
  • impersonate another person or organisation on a business card or anywhere in the Service;
  • access the Service with bots or scripts, scrape it, probe or overload it, or call our public endpoints outside the app;
  • get around plan limits, billing or allowances, or share one account between several people;
  • reverse-engineer, copy or resell any part of the Service.

9. AI features

AI generates the card scans, transcripts, summaries and Ask answers, and it can be wrong, incomplete or out of date. Treat them as memory aids and check anything that matters. You're responsible for any decision you make based on them. AI features have fair-use limits, for example a daily cap on Ask messages, so the frog can keep up.

10. Third-party services

MemFrog opens links into WhatsApp, LinkedIn and your phone's dialler, and uses the Apple App Store and Google Play for in-app purchases. Those services have their own terms, and we aren't responsible for them.

11. Ending things

You can delete your account at any time from Settings → Account. We erase your contacts, notes, media and card data from our systems at once, and we can't restore them. Deleting your account does not cancel a subscription you bought through the App Store or Google Play; cancel that in your store account. We may suspend or close an account that breaches these Terms, puts other users or the Service at risk, or goes unpaid, and we'll tell you why unless the law stops us.

12. Availability and changes

We work to keep MemFrog up but don't guarantee uptime. We may add, change or retire features. If we shut MemFrog down, we'll give you 30 days' notice and a way to get your data out.

13. Warranties and liability

We provide the Service "as is" and "as available", with no warranties beyond those the law won't let us exclude. To the fullest extent the law allows, our total liability to you for all claims arising from the Service in any 12-month period is capped at what you paid us in that period (€50 if you paid nothing), and we aren't liable for indirect or consequential loss, lost profits, or data you didn't back up. Nothing in these Terms limits our liability for intent, gross negligence, death or personal injury, or anything the law says we can't limit, and nothing takes away your statutory rights as a consumer.

14. Governing law and disputes

Slovenian law governs these Terms. The courts of Ljubljana have jurisdiction; if you are a consumer, you keep the mandatory consumer-protection rules and courts of the country where you live. If something goes wrong, email us first at quack@memfrog.com and we'll try to sort it out. As Slovenian consumer law requires us to state: we don't recognise any out-of-court consumer dispute resolution provider as competent for disputes under these Terms.

15. Changes to these Terms

We may update these Terms. If a change cuts back your rights, we'll email you or tell you in-app 30 days before it applies. Using MemFrog after that date means you accept the new Terms; if you don't, delete your account before then.
